Terms & Conditions and Policies

Effective Date: March 13, 2026

By completing registration with KP Strength & Performance (“KP”), you, as the Registrant, acknowledge that you have read, understood, and agree to be bound by these Terms & Conditions (“Terms”). These Terms apply jointly and severally to both the Registrant and the Participant (if different), including minors registered by a parent or guardian. By checking the acknowledgment box at checkout, you are providing your electronic signature in accordance with Ontario’s Electronic Commerce Act, 2000, and confirm that you have had a reasonable opportunity to review these Terms prior to completing registration.

These Terms apply to all in-person, virtual, or digital programs, training sessions, workshops, camps, clinics, classes, online content, subscriptions, and downloads offered by KP.

1. Definitions

  • “KP” – KP Strength & Performance, including its owners, staff, contractors, affiliates, and authorized representatives.
  • “Participant” – Any individual registered for or participating in KP Programs, including minors under a parent or guardian’s legal responsibility.
  • “Registrant” – The individual completing registration; may be the Participant themselves (if an adult) or a parent or guardian enrolling a minor.
  • “Parent/Guardian” – The individual registering a minor Participant and accepting these Terms on the minor’s behalf.
  • “Program” – Any service, session, class, workshop, camp, training, coaching, online or digital content, subscription, or download provided by KP.
  • “Facility” – Any physical location where KP Programs are conducted or services are provided.
  • “Media” – Photographs, video recordings, audio recordings, or other digital content captured during a Participant’s involvement in KP Programs.
  • “Digital Programs” – Any online, virtual, downloadable, or streaming content, including live-streamed sessions, video libraries, digital coaching, or subscription content.

2. Assumption of Risk and Waiver of Liability

The Registrant and Participant acknowledge and agree that participation in physical fitness, strength, and performance training carries inherent risks, including but not limited to physical injury, illness, permanent disability, or death. These risks exist regardless of the care taken by KP.

To the fullest extent permitted by the laws of Ontario, Canada, the Registrant and Participant voluntarily and knowingly release, waive, and forever discharge KP, its owners, directors, officers, employees, contractors, affiliates, and Facility owners (collectively, “Released Parties”) from any and all liability, claims, demands, actions, or causes of action arising out of or related to participation in any Program, whether on-site, online, or off-site, including claims arising from the ordinary negligence of the Released Parties.

This release does not apply to gross negligence, willful misconduct, or any other liability that cannot be waived under applicable Ontario law.

Important Notice Regarding Minors: Where the Participant is a minor, the Parent/Guardian provides their informed consent to the Participant’s involvement and accepts these Terms to the maximum extent permitted by the laws of Ontario. The Parent/Guardian acknowledges that this release is a material inducement for KP to allow the Participant to join the Program and is given in good faith.

3. Medical and Health Acknowledgment

The Registrant confirms that the Participant is physically fit and has no known medical condition, injury, or limitation that would prevent safe participation in KP Programs, or that any such condition has been disclosed to KP in writing prior to registration.

KP reserves the right to deny or suspend participation if, in its reasonable judgment, participation poses a risk to the Participant or others.

Parents and guardians are responsible for informing their minor Participants of all applicable safety protocols and for supervising their minor as required by the specific Program.

4. Refunds and Cancellations

All registrations, purchases, and bookings are final. No refunds, credits, or transfers will be provided except as expressly set out below or as required by applicable Ontario law, including the Consumer Protection Act, 2002.

Exceptions at KP’s sole discretion: KP may, but is not required to, issue a credit or transfer in exceptional circumstances.

KP-initiated cancellations: If KP cancels a Program prior to its commencement and is unable to reschedule, KP will provide a pro-rated credit or refund for the unused portion of the Program. KP is not responsible for any additional costs incurred by the Registrant or Participant, including travel or accommodation expenses, in connection with any cancellation or rescheduling.

KP may reschedule Programs due to emergencies, inclement weather, or other unforeseen circumstances without liability.

5. Media Consent and Intellectual Property

By registering, the Registrant and Participant consent to KP capturing Media during participation in Programs. KP owns all rights, title, and interest in any Media captured, and may use such Media for marketing, social media, promotional, educational, or commercial purposes worldwide and in perpetuity, without compensation to the Registrant or Participant.

Media Opt-Out: Registrants who do not wish the Participant to be included in Photos or Videos must submit a written request to KP prior to the commencement of the Program. KP will make commercially reasonable efforts to honour opt-out requests but cannot guarantee exclusion from all incidental or group Media.

Digital Program Content: All content delivered through Digital Programs, including videos, written materials, and programming, is the proprietary intellectual property of KP. Unauthorized recording, reproduction, sharing, or redistribution of Digital Program content is strictly prohibited and may result in termination of access and legal action.

6. Facility Use and Personal Property

Participants must comply with all posted rules and instructions from KP staff while at any Facility. KP is not responsible for lost, stolen, or damaged personal property. Participants, or their parent or guardian if a minor, are financially responsible for any damage caused to KP Facilities or equipment as a result of their actions.

7. Code of Conduct

All Participants must treat KP staff, other Participants, and the Facility with respect. Harassment, bullying, abusive language, or unsafe conduct will not be tolerated and may result in immediate removal from the Program or Facility without refund, at KP’s sole discretion.

8. Force Majeure

KP shall not be liable for any failure or delay in providing Programs caused by events beyond its reasonable control, including but not limited to natural disasters, acts of government or public health authority, pandemics, power failures, or other unforeseeable events. In such circumstances, KP will make reasonable efforts to reschedule or provide an alternative.

9. Indemnification

The Registrant and Participant jointly and severally agree to indemnify, defend, and hold harmless the Released Parties from any claims, damages, losses, or expenses (including reasonable legal fees) arising from: (a) the Participant’s participation in any Program; (b) any breach of these Terms by the Registrant or Participant; or (c) claims brought by third parties arising from the Participant’s conduct, except to the extent caused by the gross negligence or willful misconduct of a Released Party.

10. Limitation of Liability

To the maximum extent permitted by Ontario law, the Released Parties shall not be liable for any indirect, incidental, consequential, or special damages arising from participation in KP Programs. In no event shall KP’s total liability to any Registrant or Participant exceed the amount paid by the Registrant for the specific Program giving rise to the claim. Nothing in this section limits liability for gross negligence, willful misconduct, or any liability that cannot be excluded under applicable law.

11. Digital Programs

These Terms apply in full to all Digital Programs. Access to Digital Programs is personal and non-transferable. Unauthorized sharing of login credentials or Program content is prohibited. KP reserves the right to suspend or terminate access to Digital Programs without refund in the event of a breach of these Terms.

12. Governing Law and Dispute Resolution

These Terms are governed exclusively by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes arising from these Terms or participation in KP Programs shall be resolved exclusively by the courts of Ontario, and the parties irrevocably attorn to the jurisdiction of such courts.

13. Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be severed and the remaining provisions shall continue in full force and effect.

14. Entire Agreement

These Terms constitute the entire agreement between KP and the Registrant with respect to participation in KP Programs and supersede all prior representations, communications, or agreements, whether written or oral.

15. Acceptance and Electronic Signature

By checking the acknowledgment box during registration, the Registrant confirms that they:

  • Have read and understood these Terms in their entirety;
  • Agree to be bound by these Terms on behalf of themselves and the Participant (including any minor being registered);
  • Acknowledge the assumption of risk, liability release, and indemnification obligations set out herein;
  • Consent to the media rights and opt-out procedure described in Section 5;
  • Understand and accept the refund and cancellation policy in Section 4;
  • Agree to the code of conduct and facility rules; and
  • Confirm that checking the box constitutes their electronic signature in accordance with Ontario’s Electronic Commerce Act, 2000.

These Terms apply to all Registrants and Participants, whether adults or minors registered by a Parent/Guardian.
